These Terms & Conditions govern your access to and use of the YLNGS Technologies Private Limited website and services. By engaging with us — whether through this website, email, or a formal service agreement — you confirm that you have read, understood, and agreed to be bound by these terms.

1. About YLNGS Technologies

YLNGS Technologies Private Limited is a company incorporated under the laws of India, registered in Bengaluru, Karnataka. We offer staffing solutions, payroll & compliance management, and digital engineering services to businesses across India and globally. CIN and GST details are available upon request.

2. Services

YLNGS provides the following categories of services:

• Executive & Niche Hiring — Specialist search and placement for senior and hard-to-fill roles.
• Contract Staffing — Temporary and project-based workforce deployment with full compliance management.
• Payroll & Compliance — End-to-end payroll processing, statutory filings, and audit-ready reporting.
• Digital Engineering — Dedicated technology pods for product development, cloud infrastructure, and platform modernisation.

Specific deliverables, timelines, commercials, and service levels are defined in individual proposals or master service agreements executed between YLNGS and the client.

3. Client Responsibilities

Clients engaging YLNGS services agree to:

• Provide accurate, complete, and timely information about role requirements, timelines, budgets, and organisational context.
• Designate an authorised point of contact for all service-related communications.
• Review and provide feedback on shortlisted candidates within agreed SLA timelines.
• Ensure that all internal processes relating to background verification, offer issuance, and induction are completed on their end without undue delay.
• Promptly notify YLNGS of any changes in scope, headcount requirements, or engagement status.

4. Fees & Payment Terms

All fees are governed by the executed service agreement or proposal. Unless otherwise agreed:

• Staffing fees are payable within 30 days of the candidate's date of joining.
• Payroll and managed services are invoiced monthly in advance.
• GST (Goods and Services Tax) will be applied as applicable under Indian law.
• Late payments may attract interest at the rate of 1.5% per month on the outstanding amount.

5. Replacement Guarantee

In the event that a placed candidate voluntarily resigns or is terminated for performance reasons within the guarantee period specified in the service agreement (typically 30–90 days from joining), YLNGS will initiate a replacement search at no additional search fee. This guarantee is subject to the client having fulfilled all payment obligations and provided timely feedback during the original search process.

6. Confidentiality

Both parties agree to hold in strict confidence all non-public information shared during the engagement, including but not limited to candidate profiles, client requirements, commercial terms, and internal processes. This obligation survives the termination of the engagement for a period of two (2) years.

YLNGS will not share candidate data with any third party other than the client for whom the search is being conducted, without explicit written consent.

7. Intellectual Property

All content on this website — including text, graphics, logos, icons, and service descriptions — is the intellectual property of YLNGS Technologies Private Limited and is protected under applicable Indian copyright and intellectual property laws. Reproduction, distribution, or commercial use of any content without prior written permission is strictly prohibited.

8. Data Protection & Privacy

YLNGS processes personal data (of candidates, website visitors, and client contacts) in accordance with its Privacy Policy and applicable Indian data protection regulations. By engaging with YLNGS services, you consent to the collection and processing of your data as described therein.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• YLNGS shall not be liable for indirect, incidental, punitive, or consequential damages arising from the use of our services.
• Our total liability in connection with any claim arising from these terms or our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
• YLNGS does not guarantee specific hiring outcomes, timelines, or candidate performance beyond the replacement guarantee period.

10. Indemnification

Clients agree to indemnify and hold harmless YLNGS Technologies Private Limited, its directors, employees, and agents from any claims, losses, or liabilities arising from:

• Inaccurate or incomplete information provided to YLNGS.
• Client's breach of these terms or any applicable law.
• Wrongful termination or mismanagement of placed candidates by the client.

11. Termination

Either party may terminate the engagement with 30 days' written notice, unless otherwise specified in the service agreement. Upon termination, all confidentiality obligations remain in force and any outstanding fees become immediately payable.

12. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.

13. Amendments

YLNGS reserves the right to update these Terms & Conditions at any time. Continued use of our services after any change constitutes acceptance of the updated terms. We recommend reviewing this page periodically.
